Constitution Adopted 13th June 2007
1 Adoption of the Constitution
The club and its property will be administered and managed in accordance with the provisions of this constitution.
2 The Name
The club name shall be called Ware Youth Football Club
(in this document called the Club).
3 The Objects
The object of the club shall be to promote, organise and provide facilities which will enable boys and girls up to 18 years of age resident in Ware and the surrounding area to play amateur association football.
4 Application of the Income and Property
(1) The income and property of the Club shall be applied solely towards the promotion of the Objects.
(2) A Club Officer may be reimbursed from, the property of the Charity reasonable expenses properly incurred by him or her when acting on behalf of the Club.
(3) None of the income or property of the Club may be paid or transferred directly or indirectly by way of dividend bonus or otherwise by way of profit to any Club Officer.
(4) A Club Officer may receive reasonable and proper remuneration for any goods or services supplied to the Club provided the costs are competitive compared to contracting with someone who is not an official of the club.
5 Dissolution
(1) A resolution to dissolve the Club shall only be proposed at a General Meeting and shall be carried by a majority of at least three-quarters of the members present.
(2) The dissolution shall take effect from the date of the resolution and the members of the Club Committee shall be responsible for the winding of the assets and liabilities of the club.
(3) In the event of the dissolution of the Club any assets remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed amongst the members but shall be given or transferred to one or more of the following approved sporting or charitable bodies
1. A registered Charitable organisation
2. Another Club which is a registered CASC
3. The Sports National governing body for use by them for community related sport
6 Amendments
Any provision contained in this constitution may be amended, provided that any such amendment is made by resolution passed by a simple majority of the members present and voting at a general meeting.
7 Membership
(1) Membership of the Club shall be open to anyone under 18 years old interested in playing association football regardless of sex, age disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non discriminatory basis
(2) Members of the Club shall be those persons;
(a) listed in the register of members (Membership Database), maintained by the Membership Secretary.
(b) playing members who adhere to the rules and policies of the Club
(c) parents / guardians of playing members
(d) are not in arrears of membership fees.
(3) Playing members will be part of a team in their appropriate age group.
(4) In the event of a member’s resignation or expulsion, his or her name shall be removed from the Membership Register.
(5) The Football Association shall be given access to the Membership Register on demand
(6) Membership is not transferable to anyone else.
(7) The Club Committee may only refuse an application for membership, only for good cause such as conduct or character likely to bring the Club or sport into disrepute. Appeal against refusal or removal may be made to the Club members.
8 Membership Fees
(1) Membership fees payable by each member or Team and the payment due dates shall be determined by the Club Committee at the Annual General Meeting
(2) The Club Committee shall have the authority to levy further subscriptions from the members or teams as reasonably necessary to fulfil the objects of the Club
(3) The Club Committee will keep the subscriptions at levels that will not pose a significant obstacle to people participating.
9 Resignation and Expulsion
(1) A member whose subscription fees are more than 28 days in arrears shall be deemed to have resigned, unless special dispensation has been given by the club committee.
(2) If a team is 28 days in arrears with their subscription payments the Club Committee can at the next Committee meeting, or by calling Special General Meeting vote to suspend all rights of that team including the removal of playing and training facilities and/or the right to register the team or playing members for any subsequent season.
(3) If in the opinion of the Club Committee the conduct or the behaviour of any members is such as to be likely to prejudice the welfare or good order of the Club the Committee may pass a resolution to suspend or expel such member who shall thereupon forfeit his membership of the Club, subscriptions paid and all other rights appertaining to his membership of the Club.
(4) A resolution to remove a member from the Club may only be passed; provided the individual or individuals concerned shall have the right to defend themselves in front of the Club Committee, accompanied by a parent or guardian if under eighteen.
10 General Meetings
(1) The Club Committee must hold a General Meeting within twelve months of the date of the adoption of this constitution.
(2) An Annual General Meeting must be held in each subsequent year and not more than fifteen months may elapse between successive Annual General Meetings.
(3) All General Meetings other than Annual General Meetings shall be called Special General Meetings.
(4) The Club Committee may call a Special General Meeting at any time.
(5) The Club Committee must call a Special General Meeting if requested to do so in writing by at least 20 members. The request must state the nature of the business that is to be discussed. The Club Committee must hold the meeting within twenty one days of the request
11 Notice
(1) The minimum period of notice required to hold any General Meeting of the Club is seven clear days from the date on which the notice is deemed to have been given.
(2) The notice must specify the date, time and place of the meeting and the general nature of the business to be transacted. If the meeting is to be an Annual General Meeting, the notice must say so.
(3) Notices of the meeting will be given to members via the Club website or Notice board in the clubhouse.
12 Quorum
(1) No business shall be transacted at any General Meeting unless a quorum is present.
(2) A quorum is 10 members entitled to vote upon the business to be conducted at the meeting
(3) If a quorum is not present within half an hour from the time appointed for the meeting or during a meeting a quorum ceases to be present, the meeting shall be adjourned to such time and place as the Committee shall determine.
(4) The Committee must reconvene the meeting and must give at least seven clear days' notice of the reconvened meeting. If no quorum is present at the reconvened meeting within fifteen minutes of the time specified for the start of the meeting the members present at that time shall constitute the quorum for that meeting.
13 Chair
(1) General meetings shall be chaired by the person who has been elected as Chair
(2) If there is no such person or he or she is not present within fifteen minutes of the time appointed for the meeting a Club Officer may be nominated by those present at the meeting.
(3) If no Club Officer is present and willing to chair the meeting within fifteen minutes after the time appointed for holding it, the members present and entitled to vote must choose one of their numbers to chair the meeting.
14 Votes
(1) Every member aged 18 or over will have one vote. Members who are under eighteen will be represented at formal meetings by a parent or guardian who will be entitled to one vote in any resolution, therefore if a parent or guardian represents two or more members, that person will have the appropriate number of votes.
(2) If there is an equality of votes the person who is chairing the meeting shall have a casting vote in addition to any other vote he or she may have.
15 Club Officers
(1) The Club and its property shall be managed and administered by the Club Committee comprising the following Club Officers
(a) the club officers listed below
Chairperson
Vice Chairperson
Treasurer
General Secretary
(b) plus up to 7 other club officers
(2) Club Officials may not appoint anyone to act on his or her behalf at meetings.
16 The Appointment of Club Officers
(1) Each club officer shall hold office from the date of appointment until the next Annual General meeting unless otherwise resolved at a Special General Meeting .
(2) One person may hold no more than two positions of Club Officer at any one time.
(3) An outgoing member of the Club Committee may be re-elected,
(4) Any vacancy on the Club Committee which arises between Annual General Meetings shall be filled by a member proposed by one and seconded by another of the remaining Club Committee members and approved by a simple majority of the remaining Club Committee members.
(5) Nominations for election of club officers shall be made in writing by the proposer and seconder, both whom must be existing members of the club, to the Club secretary not less than 14 days before the Annual General Meeting
17 The Appointment of Honorary Positions
(1) Club Honorary Positions may be created in order to promote the Objects of the Club.
(2) The creation and appointment of any honorary position will be recommended by the Club Committee and sanctioned by a resolution passed by a simple majority of the members present and voting at a general meeting.
(3) An individual appointed to honorary position may also hold the position of Club Officer if elected at a General Meeting.
18 Powers
(1) The Club Committee have the following powers in order to further the Objects of the Club (but not for any other purpose);
(a) raise funds by appeals, subscriptions, loans and charges.
(b) acquire and provide grounds, equipment, coaching, training and playing facilities, clubhouse and medical related facilities.
(c) to acquire, merge with or enter into any partnership or joint venture arrangement with any other club formed for any of the Objects
(d) borrow money and give security for the same and open bank accounts
(e) to set aside funds as a reserve against future expenditure.
(f) invest funds in any lawful manner.
(g) employ staff and pay for such goods and services as are necessary for carrying out the work of the Club.
(h) do all such other lawful things reasonably necessary for the achievement of the Objects.
(2) Save as provided for in the Rules and Regulations of the Football Association and the County Association which the Club is affiliated, the Club Committee shall have the power to decide all questions and disputes arising in respect of any issue concerning club rules
(3) No alteration of this constitution or any special resolution shall have retrospective effect to invalidate any prior act of the Club Committee.
(4) Any meeting of the Club Committee at which a quorum is present at the time the relevant decision is made may exercise all the powers exercisable by the Club Committee.
19 Committee Meetings
(1) The Club Committee shall hold no less than six meetings a year.
(2) Decisions of the Club Committee shall be made by a simple majority of those attending the Club Committee meeting.
(3) The Chairperson of the Club Committee meeting shall have a casting vote in the event of a tie
(4) Meetings of the Club Committee shall be chaired by the Club Chairperson or in their absence the Vice Chairperson.
(5) The quorum for the transaction of business of the club shall be four.
20 Minutes
The Club Committee must keep minutes of all:
(1) Appointments of Club.
(2) Proceedings at meetings of the Club.
(3) Meetings of the Club Officers including:
· the names of the Club Officers present.
· the decisions made at the meetings; and
· where appropriate the reasons for the decisions.
21 Club Finances
(1) A bank account shall be opened and maintained in the name of the Club (The Club Account).
(2) Funds of the Club including all donations, contributions, subscriptions and bequests, shall be paid into the Club Account.
(3) The Club Account will be managed by those Club Officers appointed by the Club Committee.
(4) The Club Committee will ensure best banking practices are in place to protect the club funds.
(5) The Club Committee shall prepare an annual Financial Statement of Accounts to be made available to all members and the Football Association.
22 Property
(1) The Club Property other than the Club Account, shall be vested in not less than two and no more than four Custodians , one of whom shall be the treasurer (the Custodians) , who shall deal with the club property as directed by decisions of the Club Committee
(2) The Custodians shall be appointed by the Club in a General Meeting and shall hold office until death or resignation unless removed by a resolution passed at a General Meeting.
(3) Club Officers may be appointed Custodians.
(4) On their removal or resignation a Custodian shall execute a Conveyance to a newly elected custodian or the existing custodians as directed by the Club Committee.
(5) On the death of a Custodian, any Club Property vested in them shall vest automatically in the surviving Custodians.
(6) If there are only one surviving Custodian, a Special General Meeting shall be convened as soon as possible to appoint another Custodian.
(7) The Custodians shall be entitled to an indemnity out of the club property for all expenses and other liabilities reasonably incurred by them in carrying out their duties.
23 Repair and Insurance
The Club Committee must keep in repair and insure to their full value against fire and other usual risks all the buildings of the Club (except those buildings that are required to be kept in repair and insured by a tenant). They must also insure suitably in respect of equipment to their full value and public liability and employer's liability.
24 Rules and Regulations
(1) The Club shall have the status of an Affiliated Member Club of the Football Association by virtue of its affiliation to membership of the Football Association. The rules and Regulations of the Football Association Limited and parent County Association and any League or Competition to which the Club is affiliated to shall be deemed to be incorporated into the club rules.
(2) The Charity will endorse and adhere to the Football Association
· Child Protection Policies and Procedure
· Codes of Conduct
· Equal Opportunities and Anti-Discrimination Policy
(3) The rules form a binding agreement between each member of the club
